1. Acceptance of Terms

By accessing or using Elevoi ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

Elevoi is operated as a sole proprietorship in Canada. These Terms form a binding agreement between you ("Customer") and Elevoi.

2. Description of Service

Elevoi provides AI-powered business automation software including:

AI Receptionist — automated call handling and appointment booking
AI Marketer — automated SMS marketing campaigns
Reputation Management — review monitoring and response tools
Loyalty Programs (when available)

Features marked "Coming Soon" are not yet available and are subject to change.

3. Account Registration

You must be at least 18 years old and legally authorized to operate a business in Canada to use this Service.
You are responsible for maintaining the confidentiality of your account credentials.
You are responsible for all activity that occurs under your account.
You must provide accurate and complete information during registration.
One account per business. You may not share accounts.

4. Acceptable Use

You agree to use Elevoi only for lawful purposes. You must not:

Send SMS messages to individuals without their consent, in violation of CASL or any applicable law
Use the AI Receptionist to deceive callers in any illegal or harmful manner
Attempt to reverse-engineer, copy, or resell any part of the platform
Use the Service to transmit spam, malware, or harmful content
Violate any applicable law or regulation
Impersonate any person or entity

We reserve the right to suspend or terminate accounts that violate these terms.

5. SMS Messaging Compliance

You, as the business owner, are solely responsible for ensuring that all SMS messages sent through Elevoi comply with CASL and any other applicable anti-spam legislation. This includes:

Obtaining valid express or implied consent before sending commercial messages
Maintaining accurate consent records
Honouring opt-out requests immediately
Including required identification and unsubscribe information in messages

Elevoi provides compliance tools to help you meet these obligations, but we are not responsible for your use of those tools or for your compliance with applicable laws.

6. Credits & Billing

The Service uses a credit system. SMS messages, AI calls, and AI-generated campaigns consume credits.
Credits are non-refundable once consumed.
Monthly subscription credits expire at the end of each billing period and do not roll over.
Purchased credit packs do not expire.
All prices are in CAD unless otherwise stated.
We reserve the right to change pricing with 30 days' notice.
Payments are processed by Stripe. By subscribing, you agree to Stripe's terms.

7. Free Trial

New accounts receive 100 free credits to explore the platform. Free trial credits are subject to fair-use limits and may not be used for bulk commercial campaigns. We reserve the right to limit or end free trial access at any time.

8. Your Data & AI Processing

You retain ownership of your data and your customers' data.
By using the Service, you grant Elevoi a licence to process your data to provide the Service.
AI features (call handling, campaign writing, review responses) process your data using third-party AI providers.
We do not use your data to train AI models for other customers.
You are responsible for ensuring you have the right to share your customers' information with us for processing.

9. Integrations

The Service integrates with third-party platforms (e.g., Twilio, Google, Yelp, Stripe). Your use of these integrations is also subject to the respective third-party's terms of service. We are not responsible for the actions or availability of third-party services.

10. Service Availability

We aim for high availability but do not guarantee uninterrupted access. We may perform maintenance, updates, or experience outages. We are not liable for losses arising from service interruptions.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Elevoi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, resulting from your use of or inability to use the Service.

Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the 3 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Elevoi from any claims, damages, or expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) your violation of any third party's rights, including CASL violations arising from your messaging campaigns.

13. Termination

You may cancel your account at any time from the billing settings.
We may suspend or terminate your account for violation of these Terms, non-payment, or for any reason with 30 days' notice.
Upon termination, your access to the Service will cease. We will retain your data for 30 days in case you wish to export it, after which it will be deleted.

14. Governing Law

These Terms are governed by the laws of Canada and the Province of Ontario, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved in the courts of Ontario, Canada.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
